These Terms of Service ("Terms") govern your use of the website xylemworld.com and the logistics services provided by Xylem World Trade Solutions Pvt. Ltd. ("Xylem", "we", "our", or "us"). By using our website or engaging our services, you agree to be bound by these Terms.

1. Services

Xylem provides freight forwarding, vessel chartering, customs clearance, project cargo, cold storage, warehousing, transportation, and related logistics services. All services are subject to individual service agreements, quotations, and applicable terms confirmed in writing prior to commencement.

2. Website Use

• The content on this website is for general informational purposes only
• Freight rate estimates provided via the online estimator are indicative only and do not constitute a binding quotation
• You agree not to misuse, scrape, or reproduce our website content without prior written consent
• We reserve the right to modify, suspend, or discontinue any part of the website without notice

3. Quotations and Contracts

All freight quotations provided by Xylem (via email, WhatsApp, or website form) are indicative until confirmed in writing by Xylem's operations team. A binding contract is formed only upon Xylem's written acceptance of your booking instruction and issuance of a booking confirmation. Quotations are valid for the period stated therein and are subject to market conditions, vessel availability, and carrier surcharges.

4. Limitation of Liability

To the maximum extent permitted by applicable law:

• Xylem's liability for any claim arising from logistics services is limited to the freight charges paid for the specific shipment giving rise to the claim
• Xylem is not liable for loss, damage, or delay caused by events beyond our reasonable control including port congestion, weather, strikes, customs delays, or regulatory actions
• Xylem is not liable for consequential, indirect, or special damages arising from service failure
• Cargo insurance is the sole responsibility of the shipper/consignee unless Xylem has been expressly engaged to arrange insurance in writing

5. Cargo and Customs Compliance

• The shipper/exporter is responsible for accurate declaration of cargo description, HS codes, value, and weight
• Xylem acts as customs broker based on documentation provided by the client and is not liable for penalties arising from incorrect client-supplied information
• Prohibited and restricted goods must be disclosed in advance. Xylem reserves the right to refuse shipments that violate DGFT, customs, or other applicable regulations

6. Payment Terms

Payment terms are as specified in individual service agreements or quotations. Outstanding amounts attract interest at the rate of 18% per annum from the due date. Xylem reserves a lien on cargo and documents for outstanding freight and charges.

7. Force Majeure

Xylem is not liable for delay or failure to perform services caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, port closures, pandemics, or carrier failures.

8. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts at Navi Mumbai, Maharashtra.

9. Intellectual Property

All content on this website including text, design, graphics, and branding is the property of Xylem World Trade Solutions Pvt. Ltd. and is protected by applicable intellectual property laws. Reproduction without written permission is prohibited.

10. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
